These Partner Program Terms (“Partner Terms”) govern your participation in the Unni.ai Partner Program (“Program”). By accepting a creator code or participating in the Program, you agree to these Partner Terms and to our Terms of Service and Privacy Policy, which are incorporated here by reference.
1. Eligibility and Acceptance
To join the Program you must apply and be approved by Unni.ai. We review each application individually and may decline or revoke participation at our discretion, without obligation to provide a reason.
You must be at least 18 years old, legally able to enter into contracts in your jurisdiction, and either an individual or a duly authorized representative of a business entity.
2. Your Creator Code and How Tracking Works
Once approved, we will issue you a unique creator code. This code is personal to you and non-transferable. When a new user applies your code at checkout, Stripe records it against their subscription. We calculate commissions directly from Stripe data — no manual counting.
Only subscriptions where your code was applied at checkout count. If a user signs up without entering your code, the referral is not tracked and no commission is earned. There is no retroactive attribution.
3. Commission Structure
Rate. You earn 50% of the amount your referred subscriber actually pays at checkout. The checkout price includes the 20% discount your code applies, so your commission is calculated on the discounted amount, not the list price.
Scope. The commission applies to the first subscription period only — monthly or annual, whichever the subscriber selects. No commission is earned on subsequent renewals.
Annual subscriptions. When a subscriber chooses an annual plan, the entire first-year amount is charged upfront. Your commission is 50% of that single discounted charge, paid as a one-time amount.
Adjustments. Commissions are calculated on confirmed, non-refunded charges. Refunds, chargebacks, failed or disputed payments, and payment processor fees may reduce the final payable amount. We calculate what actually clears.
4. Payments
Minimum threshold. Commissions are payable once your balance reaches at least $50.
Timing. Approved commissions are processed monthly, within the first week of the following calendar month.
Method. We pay via Stripe to supported payout methods in your region, including bank transfers. You are responsible for maintaining valid, up-to-date payout details with us. We are not responsible for failed transfers caused by incorrect or expired payment information you provide.
Reporting. You may request a Stripe-generated commission report at any time. It shows every subscription attributed to your code, the plan, the billing date, and the amount paid.
5. Taxes
You are solely responsible for determining and fulfilling any tax obligations arising from Program commissions, including income tax, VAT, GST, self-employment tax, or any other applicable tax in your jurisdiction. Unni.ai does not withhold taxes on partner payments. We recommend consulting a local accountant or tax advisor if you are unsure of your obligations.
If required by applicable law, we may request tax identification information from you before issuing payments.
6. Disclosure Requirements
Where required by applicable law or regulation in your jurisdiction — including but not limited to FTC guidelines in the United States, ACCC guidance in Australia, ASA rules in the United Kingdom, and equivalent regulations elsewhere — you must clearly and conspicuously disclose your relationship with Unni.ai in any content where you promote Unni.ai or share your creator code. This applies where you receive or may receive any form of value in connection with the promotion, including commission, payment, benefits, discounts, free access, or other consideration. This includes, but is not limited to, posts on social media, videos, newsletters, podcasts, and any other public-facing content.
It is your sole responsibility to determine whether disclosure is required under the laws and platform rules applicable to you, and to ensure that any required disclosures are made. We include sample disclosure wording in your creator kit. Unni.ai is not liable for any penalties, fines, or claims arising from your failure to comply with applicable disclosure requirements.
7. Your Content and Conduct
You are solely responsible for all content you create or publish in connection with your participation in the Program, including posts, videos, newsletters, reviews, or any other promotional material.
Your content must:
- be truthful and not contain false, misleading, exaggerated, or unsupported claims about Unni.ai’s features, pricing, capabilities, outcomes, earnings, customer results, or legal or compliance suitability;
- comply with all applicable laws, regulations, and platform rules in your jurisdiction;
- not make guarantees or promises about outcomes that we have not authorized; and
- not impersonate Unni.ai or imply an official endorsement beyond the partnership relationship.
You agree not to engage in spam, unsolicited messages, or any promotional practice that violates platform terms of service or applicable law.
You are responsible for ensuring that your promotional content, claims, disclosures, channels, and marketing activities comply with applicable laws, platform rules, and these Partner Terms. Unni.ai is not responsible for unauthorized claims, statements, promises, representations, or promotional methods used by you. However, Unni.ai may require edits to or removal of content, suspension of promotion, cancellation of your creator code, withholding of commissions, or termination from the Program where Unni.ai considers that your conduct may create legal, regulatory, commercial, reputational, or customer risk.
8. No Guarantee of Earnings
Participation in the Program does not guarantee any specific level of income or commissions. Earnings depend entirely on how many of your referred users subscribe using your code. Any earnings figures shown on the Program page — including the earnings simulator — are illustrative only and not a promise of results.
9. Program Changes
We may change commission rates, payment thresholds, timing, or any other aspect of the Program at any time. We will provide reasonable advance notice of material changes by email to your registered address. Continued use of your creator code after the effective date of a change constitutes acceptance of the updated terms.
10. Suspension and Termination
By Unni.ai. We may suspend or terminate your participation in the Program immediately if you: violate these Partner Terms or our Terms of Service; engage in fraudulent or deceptive promotion; manipulate referrals or tracking; cause chargebacks or disputes on referred accounts; or otherwise act in a way that harms Unni.ai or its users. Any unpaid commissions tied to fraudulent or abusive activity may be forfeited.
By you. You may withdraw from the Program at any time by contacting us. Commissions earned on legitimate, cleared transactions prior to your withdrawal will be paid out according to the regular payment schedule, provided the minimum threshold is met.
On termination. Your creator code is deactivated and stops generating new referrals. No commission is earned on subscriptions initiated after your code is deactivated.
11. Relationship of the Parties
Your participation in the Program does not create an employment, agency, partnership, franchise, or joint venture relationship between you and Unni.ai. You are an independent party. You have no authority to bind Unni.ai or make commitments on its behalf.
12. Limitation of Liability
To the fullest extent permitted by applicable law, Unni.ai is not liable for any indirect, incidental, or consequential damages arising from your participation in the Program. Our total liability to you in connection with the Program will not exceed the total commissions paid to you in the 12 months preceding any claim.
13. General
Entire agreement. These Partner Terms, together with our Terms of Service and Privacy Policy, constitute the entire agreement between you and Unni.ai regarding the Program.
Severability. If any provision is found unenforceable, the remaining provisions continue in effect.
Assignment. You may not assign your participation, creator code, or any rights under these Partner Terms without our written consent.
